The purchase and sale of a company or of an ongoing business unit entails many complications and uncertainties, such as hidden responsibilities, the existence of non-apparent handicaps, and possible depreciations of the value due to facts which did not manifest themselves at the time of acquisition. We place special emphasis on the thorough study of all of the legal matters of the company which is the object of the purchase and sale, via legal, employment and fiscal audits. M&amp;A operations are usually subject to schedule pressures and the financial needs of each party; we are conscious of the importance of giving legal security to the operation, without neglecting the factor of timing.
