From time to time, the market offers growth potentialities through the merger with one or more companies as well as by means of the purchase of companies or businesses, which, for one reason or the other, may be up for sale. The purchase or sale of a company or an ongoing business concern involves a number of complex issues, such as uncovering hidden liabilities and providing reasonable legal coverage for the purchaser/seller on the risk and possible damages arising from the purchased company, including tax and labour issues. Our firm places special emphasis on the thorough study of all legal matters concerning the target company, starting with a preliminary overview to detect surface irregularities, which may be known by the client from the beginning, followed by a due diligence focused on substantial issues and finishing with the drawing up of the purchase and sale agreement. Time consuming and overstretched M&A processes are often due to a lack of proper organisational skills or the professional abilities of the legal counsel, and can be the reason for the collapse of the project and the waste of substantial amount of time and money. Although we are aware that legal security is paramount in these operations, we are also aware that timing is essential; our goal is to make the process as short and efficient as possible by setting reasonable time schedules and pushing the involved parties in order to adjust them to the calendar set forth for the operation.
