Whereas every company or business has its strong points and shortcomings and and may not be in a position to pursue more ambitious projects on their own, joining forces with another complementary concern may be the best solution. Yet, it often happens that statements and expressions of good faith by the parties made at an early stage are hard to translate into concrete written agreements, which satisfy both the main goal of the joint venture and the expectations of each party thereto. Joint venture protocols preceding the incorporation of the actual joint venture company are of the essence in order to clarify the management structure, balance of power, decision making faculties, thus avoiding dead lock situations. Likewise, it is also of the utmost importance to anticipate a corporate mechanism for sorting out potential conflicts between the partners and even to design appropriate emergency exits in case the differences cannot be solved and the joint venture must come to an end.
